The Red Bluff Joint Un- ion High School District owns certain real property located at 13301 Baker Road, Red Bluff, Cal- ifornia, 96080 (the "Property"). B. The Property is legally described in Exhibit A attached hereto and incorporated herein by this reference. C. Pursuant to Education Code sections 17455 et seq., the governing board may sell any real property belonging to the district which is not or will not be needed by the district for classroom purposes at the time of delivery of title to the proper- ty. D. The Board hereby de- clares the Property to be sur- plus and not suitable for school purposes. E. This Board has com- plied with all Education Code provisions and Government Code sections 54220 et seq., in offering the property for sale to various public entities. F. The sale of the Property is categorically exempt from the provisions of CEQA pursuant to California Code of Regulations, title 14, chapter 3, section 15312. RESOLVED 1. The above recitals are true and correct. 2. This Board finds that the Property is not now and will not at the time of delivery of ti- tle or possession be needed by the district for classroom pur- poses. 3. This Board declares its intention to sell the Property in the manner described in this Resolution. 4. Signed written propos- als ("bids") for the purchase by the bidders and sale by the dis- trict of the Property will be re- ceived by this Board at the dis- trict office at the address of 1525 Douglas Street, Red Bluff, California, 96080 on the date of November 18, 2015. At the regu- lar meeting place of this Board, and subject to the terms of this Resolution, all bids timely re- ceived will be opened at the hour of 6:00 p.m., examined and declared by this Board in a pub- lic meeting. 5. The minimum bid for the Property shall be One hun- dred Seventy Five thousand ($175,000). 6. Pursuant to Education Code sections 17455 et seq., the district will pay a six percent commission to a licensed real estate broker, if any is utilized by the successful bidder who actually purchases the Property from the District. The sealed bid must include the name of the li- censed real estate broker to whom the commission is to be paid and the amount to be paid. 7. Each bid shall be in writ- ing, shall be signed by the bid- der, and shall be sealed in an envelope marked "BID ON SCHOOL PROPERTY TO BE SOLD BY THE RED BLUFF JOINT UNION HIGH SCHOOL DISTRICT AT THE HOUR OF 6:00 O'CLOCK P.M. ON THE DATE OF NOVEMBER 18, 2015." 8. Copies of this Resolu- tion shall be made available to prospective bidders upon re- quest. 9. Each bid shall be accom- panied by a security deposit in the form of cash, a certified or cashier's check, or United States postal money order in an amount equal to ten percent of the amount of the bid, as a guar- antee that the successful bid- der, immediately upon being no- tified that this Board has ac- cepted bidder's written or oral bid, will enter into a written con- tract for purchase. In the event the highest bid is by an oral bid- der who is deemed by this Board reasonably unable (at the com- pletion of the bidding) to post a deposit of ten percent of the ac- cepted oral bid, the bidder shall then deposit with this Board not less than ten percent of the min- imum price set for sale of the Property and shall be allowed until 1:00 p.m. of the next busi- ness day following award of the bids to deposit with this Board the balance due on his or her se- curity deposit. Checks and mon- ey orders shall be payable to the Red Bluff Joint Union High School District. 10. All written and oral bids shall remain firm offers by the respective bidders to the dis- trict for 30 days until the buyer of the Property enters into a written contract with the dis- trict, whichever shall first occur. All security deposits shall be re- turned by the district to the re- spective bidders, except the buyer, at the time the buyer en- ters into the written contract. The security deposit of the buy- er shall be applied by the dis- trict to the purchase price bid by the buyer when the balance of the purchase price is paid in- to escrow, or shall be deposited to the credit of the district as liquidated damages for the costs and inconvenience incur- red by the district if the buyer fails to enter into and fully per- form any and all material parts of the contract, it being express- ly agreed and understood that the amount of the deposit con- stitutes reasonable damages and that it is impractical or ex- tremely difficult to ascertain ac- tual damages. 11. The bid which offers the district the highest price, con- forms to all terms and condi- tions specified in this Resolu- tion, and in law, and is made a responsible bidder shall be ac- cepted by the Board; unless (upon a call for oral bidding to be made pursuant to this Reso- lution and after the written bids are declared) a reasonable per- son or firm offers orally to pur- chase the Property pursuant to Education Code sections Property pursuant Education Code sections 17455 et esq. upon the terms and con- ditions contained in this Resolu- tion and at a price which ex- ceeds by at least 5 percent the highest written bid after deduct- ing the commission, if any, to be paid a licensed real estate brok- er; or unless this Board rejects all bids. Minor or insignificant increments of increase during oral bidding may be viewed by this Board as an obstruction of the oral bidding procedure and as evidence of irregularity of a bidder. 12. At the time the buyer's bid is accepted, the buyer shall be required to enter into a writ- ten contract with the district un- der which the district will sell and the buyer will buy the land through an escrow holder se- lected by the district. If the buy- er desires a policy of title insur- ance, it shall be provided at the buyer's expense. The buyer will pay all escrow and closing costs. 13. The successful bidder acquires no right, title, or inter- est, or equity in or to the subject property until the sale has been approved in the manner provid- ed by law, and a deed has been executed by the governing board of the district and deliv- ered to the successful bidder. 14. The Superintendent is directed to cause notice to be given of the adoption of this Resolution and of the time and place of sale by: a. Posting copies of this Resolution, signed by the Presi- dent of this Board on behalf of at least two-thirds of the mem- bers of the Board, in three public places in the District, not less than 15 days before the date set for opening bids. The Board au- thorizes the President to sign the Resolution. b. Publishing written no- tice of adoption in the Red Bluff Daily News not less than once a week for three successive weeks before the date set for opening the bids. 15. The Superintendent is authorized to give notice of and publicity to the adoption of this Resolution and the pendency of the sale in other ways deemed appropriate by the Superintend- ent. The Superintendent is fur- ther authorized and directed to take all necessary and appropri- ate action to expedite the pro- posed sale, including but not limited to the preparation and distribution of copies of this Resolution and of forms for bids. 16. This Board finds and de- clares that the proposed sale of the Property as set forth in this Resolution is categorically ex- empt from the provisions of CEQA pursuant to California Code of Regulations, title 14, chapter 3, section 15312.
