M I N U T E S O F T H E A N N U A L M E E T I N G KBR Heritage Federal Credit Union's Annual Meeting was called to order by Chairman Glenn Wong at 4:43 p.m. on March 26, 2019. Wong welcomed members and guests to the meeting and invited everyone to stand for the Pledge of Allegiance. Chairman Wong introduced the current Board of Directors: Byron Smith, Bill Simister, Michael Fink, Sanjay Singh (absent), Paul Kramer, Matt Frank (absent), James Griffin and Tim Mark. Wong introduced Bob Williams (absent) and Kathy Hancock, as the appointed Associate Directors. Wong then introduced Supervisory Committee chairman, Ron Schielke. Wong introduced the rest of the Supervisory Committee: Mike Tallman, Aiesha Maxwell (absent) and Kurt Walker. Wong introduced Regina Lancaster, the Credit Union's President/CEO. Lancaster then introduced the Credit Union staff: Caprisa Queen, Teri Billiot, Beatriz Loera, Katrina Roberts, Debra Ligon, Deanna Robinson and Jennifer Crosby. A motion was made by Hancock to change the order of business to allow for the election process to begin. The motion was seconded by Janie and it passed unanimously. Kramer was introduced as the Nominating Committee Chairman. Wong then introduced the candidates, Monique Burns (absent), Byron Smith, Bill Simister and himself. Chairman Wong then asked for any nominations from the floor three times as required. Kyle made a motion to close the nominations. Hancock seconded the motion and it passed unanimously. Wong stated members were being asked to vote for three (3) candidates. At this point, Supervisory Committee Chairman Schielke was asked to collect the ballots and assist with the tallying of the votes. Minutes of the Meeting: Wong then presented the minutes of the March 27, 2018, Annual Meeting. Hancock made a motion to accept the minutes as presented. Simister seconded the motion and it passed unanimously. Chairman's Report: Wong presented the Chairman's Report. Treasurer's Report: Fink reviewed the financials from the Annual Report. Fink also reviewed the Treasurer's Report. The credit union remains strong and financially stable. President/CEO Report: Lancaster welcomed everyone attending and reviewed her report. Lancaster thanked the board, supervisory committee and associate directors for volunteering for the credit union. Lancaster introduced new products and services: Google Pay™, Apple Pay ® , Remote Deposit Capture and the new credit card with rewards points. Lancaster concluded with thanking members for supporting the credit union and reminded them to apply for credit cards and loans. Supervisory Committee Report: Schielke reviewed his report in the Annual Report. The credit union remains in good shape and the reports from NCUA and the hired auditors were complementary. Old Business: Chairman Wong asked if there was any old business to discuss. There was none. New Business: Chairman Wong asked if anyone had any new business they would like to address at this time. There was none. Drawings: The meeting continued to the Cash Prize drawings. Gene Boriskie won $250. The following individuals won $125 each: Thomas Cokinos and Deanna Robinson. The following individuals won $50 each: Jane Stilley, Janet Dickenson, Robert Burlingame, Bas Baskaran, Brownyn Schielke, Martha Smith, Israel Vela, Wallace Hancock, Steve Cillessen and R. A. Kelly. Election Results: Ron Schielke, Chairman of the Supervisory Committee, announced the election winners: Byron Smith, Bill Simister and Glenn Wong. Chairman Wong thanked all the members and guests for attending the meeting. Wong made a motion to adjourn and it passed unanimously.
